Incorporation Support

It takes six months to a year to establish a corporation and conduct business in order to stay in Japan. During this time, the support of professionals such as administrative scriveners, judicial scriveners, and tax accountants becomes indispensable.

This process can be briefly illustrated as follows.

1. Obtaining a Business Management Visa


The Business Management Visa is granted to foreign nationals who wish to engage in "activities to manage a trade or other business in Japan or to engage in the management of such business. In order to obtain this VISA, it is necessary to have an administrative scrivener do the work.


 

To obtain this VISA, it is generally necessary to prepare a business plan, capital of at least 5 million yen, and secure a business office to conduct the business.  Since the hurdles to obtaining a business administration visa are not low, it is recommended that you request work from an administrative scrivener who specializes in business administration visa work or is able to communicate in foreign languages.  The market price is about 200,000 yen. 1-A. One hurdle in obtaining a business administration visa is securing a business office. Virtual offices are not acceptable. You must also secure a business office separate from your place of residence.

 2. Registration of a corporation

To obtain a business administration visa, it is often necessary to establish a corporation in Japan. This task is mainly handled by a judicial scrivener. The judicial scrivener prepares the articles of incorporation and registers the corporation on your behalf.


By asking a judicial scrivener who specializes in incorporation of foreign corporations or a judicial scrivener who can handle foreign languages to do this job, you can be sure to consult with him or her about the contents of the articles of incorporation. Especially when incorporating a corporation with two or more persons, it is recommended that the articles of incorporation be drafted with the advice of a judicial scrivener, considering the risks involved later on. The market price is about 300,000 yen, including the cost of registering the corporation.

3. Taxation of the corporation


After establishing a corporation and obtaining a business management visa, a licensed tax accountant will actually assist with the tax affairs of the corporation. If possible, it is advisable to have a tax accountant work with the corporation even before the corporation is established, and to work together with the above-mentioned judicial scrivener to consider the contents of the articles of incorporation. This is because tax-related details, such as the date of incorporation and the month of settlement of accounts, need to be set at the time of incorporation.


In addition, the tax accountant will be responsible for the accounting and tax affairs of the corporation even after it is established. In particular, a corporation established by a foreign national requires different considerations than a corporation established by a Japanese national. For example, for a Japanese director, the amount of director's remuneration can be determined based on the company's performance, etc. However, for a foreigner, the amount of director's remuneration is a major factor in the renewal of a business management visa, so the amount should be set carefully. If you are asking for accounting and taxation afterwards, you will need about 20,000 yen per month, and another 100,000 yen for the month of closing of accounts. 3-A.  After incorporation, it is generally necessary to open a corporate account at a bank, but this process is becoming more difficult every year. The screening process varies from bank to bank, but the applicant is required to have a properly established place of business, have a certain level of understanding of Japanese, and have clear business partners. To establish a corporate account at a Japanese bank, we recommend that you consult with a tax accountant first, rather than going to the bank alone.
